Literature demonstrates that the newly listed companies showed a decline in operating performance in the years following the IPO. In the same years, as evidenced in recent studies, the same companies are very active in the M&A's market. The objective of this thesis is to assess the impact of M&A on operating performance in the period following IPO. Using a sample of 200 European companies listed between 1997 and 2007, it becomes clear that M&As have no impact on post-IPO operating performance and that they can't be considered as a cause of post - IPO decline in performance. The method of payment impacts significantly on changes in operating performance; firms which employ cash payment significantly outperform IPO firms' benchmark and showed significantly higher performance than companies that employ a stock payment, which significantly underperform the IPO firms' benchmark. Finally, this research highlights the fact that in the years following the listing, IPO firms better manage working capital compared to other companies. Reductions in working capital is primarily due to a decrease in account receivables.

E' oramai dimostrato dalla letteratura che le imprese neo-quotate registrano un calo delle performance operative negli anni successivi alla quotazione, anni nei quali, come evidenziano recenti studi, le stesse imprese sono molto attive nel mercato delle M&A. Questo lavoro di tesi si è posto l'obbiettivo di verificare quale sia l'impatto di acquisizioni e fusioni sulle performance operative nel post-IPO. Utilizzando un campione di 200 imprese europee quotate tra il 1997 e il 2007 si è dimostrato come le M&A non abbiano un impatto significativo sulle performance operative nel post-IPO e non possano essere annoverate tra le cause del profitability drop. Il metodo di pagamento impatta significativamente sulla variazione delle performance operative: le imprese che utilizzano un metodo di pagamento cash sovraperformano significativamente il benchmark delle IPO, e hanno performance decisamente migliori rispetto a quelle che utilizzano un metodo di pagamento stock le quali, al contrario sottoperformano il benchmark delle IPO. Dall'analisi dei dati emerge come le imprese che effettuano IPO, negli anni successivi alla quotazione, gestiscano meglio il capitale circolante rispetto alle altre imprese. La riduzione del loro capitale circolante è imputabile principalmente ad una diminuzione dei crediti commerciali.
