L'enterprise risk management come leva strategica di creazione di valore : una revisione critica della letteratura

The aim of following thesis is to present the ERM "Enterprise Risk Management" methodology used to top management to create value in the organizations. The first parts begins with the definition of risk and its fundamental concepts, illustrating the main historical developments of the Risk Management until the birth of the ERM model, that represents an integrated model suitable to deal with new risk scenarios. In the second part will show the ERM evolution in the recent years, the main obstacles and the principals benefits involved in its adoption and its influence in the maximization of corporate value for shareholders.

Il presente lavoro di tesi ha l’obiettivo di presentare la metodologia ERM “Enterprise Risk Management” come leva strategica a disposizione del management per creare valore nelle organizzazioni. A partire dalla definizione di rischio e dei suoi concetti fondamentali vengono studiati i principali sviluppi storici del Risk Management fino alla nascita del modello ERM, che rappresenta un modello integrato idoneo a fronteggiare i nuovi scenari di rischio. Viene presentata l’evoluzione che tale modello ha avuto negli ultimi anni, i principali ostacoli e i benefici che comporta la sua adozione nonché l’influenza che esercita nella massimizzazione del valore d’impresa per gli shareholders.
