International standard forms of contracts. Claims and variations provisions guidelines

The aim of the present work is to investigate the provision given in international guidelines in order to deal with variations and claims throughout the project. In particular, variations and claims clauses of international standard organization in the construction field will be investigated and compared with the clauses contained in real contracts used in the Italian area. The analysis of the provisions has been accomplished with the three main standard forms of contract: FIDIC Red Book, JCT Standard Building Contract, the NEC3 Engineering and construction contracts. In addition, also the provision present in Codice degli Appalti will be investigated. In order to have a complete understanding on the subject of the present thesis, it will be given an overview of contracts and construction contracts; the definition and the main characteristics of contracts will be stated, and also a classification of the contracts based on the price calculation method and way of contracting. Furthermore, there will be an introduction to contract management, where the goals of contract management will be exposed, as well as the tools to achieve a successful contract management. In the comparison it will be looked for similarities and differences, but most importantly for the weak spots. This means that it will be looked for what are the common points on which there is no much clarity, that could lead to confusions, misunderstandings, litigations and therefore delays and additional costs to the project. Thanks to the comparison, it has been made possible to develop standard models for the request of claims and variations. The purpose of the template is to provide a simple and clear tool that could represent a valid mean aimed to avoid misunderstandings and incomprehension between the client and the contractor, and therefore reaching the ultimate goal for a construction project, namely to meet the original budget, respect the work programme and comply with the quality required.

Lo scopo del presente lavoro è quello di esaminare le prescrizioni riguardo riserve e varianti, contenute nei contratti d’appalto. Nello specifico, le varianti e le riserve delle linee guide internazionali nel campo delle costruzioni sono state analizzate e comparate con le prescrizioni contenute in alcuni contratti realmente usati in Italia. L’analisi delle prescrizioni è stata portata a termine grazie ai tre principali modelli standard di contratto FIDIC Red Book, JCT Standard Building Contract e NEC3 Engineering and Construction Contract. Inoltre, anche le prescrizioni contenute nel Codice degli Appalti sono state esaminate. Al fine di avere una più completa comprensione riguardo l’oggetto della tesi, in principio è stata data una panoramica sui contratti: sono state date le definizioni e le principali caratteristiche, insieme ad una classificazione dei contratti d’appalto basata sul metodo di calcolo del prezzo, ripartizione del rischio e tipologia dei contratti. È stata fornita inoltre un’introduzione alla gestione del contratto, dove sono stati esposti gli obbiettivi del contract management, così come gli strumenti per raggiungere i risultati preventivati. Nella comparazione sono state evidenziate le similitudini e le differenze, ma soprattutto i punti deboli. Questo significa che sono stati ricercati i punti comuni in cui non c’è particolare chiarezza, e che inevitabilmente potrebbero portare a confusione, controversie, malintesi e quindi a ritardi e costi maggiori. Grazie alla comparazione, è stato possibile sviluppare dei modelli standard per la richiesta di varianti e la richiesta di riserve. Lo scopo del template è quello di fornire uno mezzo semplice e chiaro, che potrebbe quindi rappresentare un valido strumento volto ad evitare fraintendimenti e incomprensioni tra il cliente e l’appaltatore, e di raggiungere lo scopo ultimo di ogni progetto, ovvero il rispetto del budget iniziale e delle tempistiche assegnate, e di soddisfare gli standard di qualità richiesti per l’opera.
