L'istituto del golden power. Evoluzione dello strumento dei poteri speciali a partire dall'originaria golden share e considerazioni sull'efficacia dello stesso relativamente al settore energetico

In this thesis, we describe the events that have affected the various European countries, regarding the introduction of the golden share institution in their respective legal systems, moving on to the description of the evolution of the Italian case, up to the current legislation of the Golden Power. Subsequently, we have focused on the effectiveness of the Golden Power regulation, in relation to the energy sector, by asking ourselves if it is capable to identify exhaustively, through the “D.P.R. March 25, 2014, No. 85”, the strategic activities related to this sector. About this purpose, it has been concluded that the considered regulation is not fully effective, and an attempt was made to provide a better version of the above mentioned D.P.R. The discussion is based on the analysis of the national and EU regulations, as well as on various articles of specialized journals and other sources reported in the notes.

In questo lavoro di tesi si presentano gli avvenimenti che hanno interessato i vari paesi europei in merito all’introduzione dell’istituto della golden share nei rispettivi ordinamenti nazionali, per poi andare ad affrontare nel dettaglio l’evoluzione della disciplina nel caso italiano, fino alla vigente disciplina dei Golden Power. In un secondo momento, ci si pone l’interrogativo sull’efficacia della disciplina dei Golden Power, relativamente al settore energetico, con ciò intendendosi la capacità della stessa di identificare in maniera esaustiva, tramite il “D.P.R. 25 marzo 2014, n.85”, le attività strategiche connesse a tale settore. Relativamente a questo obiettivo, si è potuto concludere la non piena efficacia della disciplina in oggetto, e si è cercato di fornire una versione migliore del D.P.R. predetto. La trattazione operata, si basa sull’analisi delle normative nazionali e comunitarie disponibili, nonché su diversi articoli di riviste specialistiche di diritto e altro materiale puntualmente riportato nelle note.
