The dissertation aims to detect and assess the potential changes in the internationalisation strategies adopted by multinational enterprises (MNEs) in Europe's merger and acquisition (M&A) processes in light of the recent exogenous shocks between 2018 and 2023. This thesis concerns three main strategic scenarios: differentiation, inter-sectoral agglomeration and intra-sectoral agglomeration. For each of the three strategies, a statistical analysis was conducted using a sample containing the 4,366 cross-border M&A deals performed in Europe over the last 6 years obtained from the Refinitiv Eikon database. Each scenario was then analysed in relation to the uncertain context that arose from Brexit, COVID-19, and the recent international conflicts. The obtained results prove how these exogenous factors have effectively influenced the internationalisation processes of MNEs. On the one hand, Brexit has caused a loss of Great Britain's attractiveness; on the other hand, the purchasing power of British companies has decreased. COVID-19 has emphasised the reconfiguration of companies into increasingly regional value chains (RVCs), favouring inter-sectorial agglomeration strategies. However, this evidence is less valid in the sectors deemed strategically relevant by the EU since it has been proved that the European companies that invest there tend to intra-sectorial agglomerate themselves. This study aims to help extend the understanding of business decisions in the context of uncertainty and crisis in the International Business (IB) field. Although the temporary restriction represents the principal research limitation, it provides an excellent basis for future research.
L’elaborato si propone di individuare e valutare i potenziali cambiamenti nelle strategie di internazionalizzazione adottate dalle imprese multinazionali nei processi di fusione e acquisizione (M&A) in Europa, alla luce dei recenti shock esogeni avvenuti tra il 2018 e il 2023. La tesi si occupa di tre principali scenari strategici: differenziazione, agglomerazione inter-settoriale e agglomerazione intra-settoriale. Per ciascuna delle tre strategie, è stata effettuata un'analisi statistica utilizzando un campione contenente le 4.366 operazioni di M&A internazionali condotte in Europa negli ultimi 6 anni, ottenute dal database di Refinitiv Eikon. Ogni scenario è stato successivamente analizzato in relazione al contesto incerto che si è creato in seguito alla Brexit, al COVID-19 e ai recenti conflitti internazionali. I risultati ottenuti dimostrano come questi fattori esogeni abbiano influenzato effettivamente i processi di internazionalizzazione delle imprese multinazionali. Da un lato, la Brexit ha causato una perdita di attrattività per il Regno Unito; dall'altro, il potere d'acquisto delle imprese britanniche è diminuito. Il COVID-19 ha evidenziato come la riconfigurazione delle catene di valore aziendali stia diventando sempre più regionale, favorendo strategie di agglomerazione inter-settoriali. Tale considerazione, tuttavia, trova meno riscontro nei settori considerati strategicamente rilevanti dal l'UE, dato che è stato dimostrato che le imprese europee che vi investono tendono ad agglomerarsi intra-settorialmente. Questo studio ambisce ad ampliare la comprensione delle decisioni aziendali nel contesto di incertezza e crisi nel campo dell’International Business (IB). Sebbene la restrizione temporanea rappresenti il principale limite di ricerca, essa fornisce un'eccellente base per ricerche future.
