The following thesis introduces an application of asymmetric information theory to the case of Mergers and Acquisitions (M&A). Analyzing the acquisitions process, information’s researches improve the buyer’s knowledge of target value and reduce the state of uncertainty. As a consequence, the effort in finding new information entails additional costs, like bank’s fees or time spent by the top management on the deal, involving a trade- off between research’s benefits and costs. In this study we focus our attention on buy-side information asymmetry (information asymmetry that mainly affects the bidder), and we propose a model on these arguments. In particular we propose four versions of our model and a few applications.
La seguente tesi propone un’applicazione della teoria delle asimmetrie informative al tema delle fusioni e acquisizioni (M&A). Focalizzandoci sul processo di acquisizione societaria, la ricerca di informazioni permette alla società acquirente di migliorare la qualità del suo set informativo e di ridurre l’incertezza sul valore della società che si appresta ad acquisire. Questo sforzo di ricerca implica dei costi, quali le commissioni versate agli intermediari finanziari o il tempo che il top management dedica all’operazione, che generano una situazione di trade-off tra benefici e costi della ricerca. Il lavoro proposto, concentrandosi sulle asimmetrie informative cui soffre la società acquirente nei confronti della società target (Buy-side Information Asymmetry), propone una possibile modellizzazione per trattare questo tema. In particolare abbiamo proposto quattro versioni del modello e alcune applicazioni pratiche.
